TERMS AND CONDITIONS

1. General / Scope

These GTC apply to all contractual relationships between SuperCharged Europe Limited, San Gwann, Malta (the “Studio” or “Seller”) and the Customer (Consumer or Entrepreneur) concluded via the moontrail.ai platform.

2. Subject of Contract & Intellectual Property
  • The Mission: Moontrail provides elite, AI-assisted animation production and IP development.
  • IP Ownership: All proprietary characters (e.g., the IvyBears crew), cinematic scripts, and custom AI-assisted animation frameworks are the exclusive intellectual property of the Studio. Unauthorized replication of our “heart and soul” is strictly prohibited.
3. Conclusion of Partnerships

Representations on the website are an invitation to submit a binding offer. A contract is finalized only when the Studio issues a formal Order Confirmation via email, which serves as the acceptance of the offer.

4. Payment Systems & Security
  • Global Standard: All prices are stated as total prices, including statutory VAT where applicable.
  • Payment Methods: We accept major credit cards (Visa, Mastercard, Amex), PayPal, and Apple Pay.
  • Security: For credit card payments, customers must verify themselves as legitimate holders via secure entry.
5. Retention of Title

The Studio retains full title and ownership of all digital assets and goods until the customer has paid the purchase or partnership price in full. For entrepreneurs, this title remains until all claims from the business relationship are settled.

6. Production & Delivery
  • Lightning Speed: While traditional models take years, Moontrail delivers monthly episodic content.
  • Terms: Standard delivery for physical goods (if applicable) is 2-3 days, unless otherwise specified in the project offer.
7. Liability & Warranty
  • Statutory Rights: The statutory law on liability for defects applies (2 years for consumers, 1 year for entrepreneurs).
  • Limited Liability: The Studio is liable without limitation for intent or gross negligence. For slight negligence of material contractual obligations, liability is limited to foreseeable damage typical for the contract.
8. Place of Jurisdiction & Law
  • Jurisdiction: For merchants or legal entities, the exclusive place of jurisdiction is the Studio’s place of business in Malta.
  • Applicable Law: All relations are governed by the laws of the Federal Republic of Germany (as per the central group policy), to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
9. Dispute Resolution

The European Commission’s ODR platform for online dispute resolution can be accessed at https://ec.europa.eu/consumers/odr. The Studio is not obliged to participate in a consumer arbitration board.
